Terms of Service

1. Agreement
These Terms of Service ("Terms") govern access to and use of websites, documentation portals, sandboxes, and related online properties operated by Flagship Fintech("Flagship", "we", "us"). By accessing or using our properties, you agree to these Terms. If you accept on behalf of a company, you represent that you have authority to bind that entity.
If you purchase paid services, a separate order form, statement of work, or master services agreement ("Agreement") applies and prevails over these Terms to the extent of any conflict.
2. Definitions
- Services— Flagship's SaaS platform, APIs, documentation, sandboxes, and support as described in your Agreement or, if none, on our websites.
- Customer — the legal entity identified in an Agreement or, for evaluation use, the entity you represent.
- User — individuals granted access to the Services (employees, contractors, or agents of Customer).
- Customer Data— data submitted by Customer or Users, including configuration, transaction metadata, and content processed on Customer's instructions.
3. Access and acceptable use
You must not: (a) probe or test vulnerabilities without written authorisation; (b) interfere with integrity or performance; (c) attempt unauthorised access; (d) systematically extract non-public materials to build a competing product; (e) reverse engineer except where mandatory law permits; (f) transmit malware or unlawful content; or (g) use the Services in breach of sanctions, export controls, or anti-money-laundering laws.
We may suspend access that reasonably appears to violate these Terms or create security or legal risk, with notice where practicable.
4. Accounts and security
Users must protect credentials, use strong authentication where offered, and notify us promptly of suspected compromise. Customer is responsible for acts and omissions of its Users.
5. Intellectual property
Flagship retains all rights in the Services, software, branding, and documentation. Subject to these Terms and your Agreement, we grant Customer a non-exclusive, non-transferable right to access and use the Services during the subscription term.
Customer retains rights in Customer Data and grants Flagship a licence to host, process, and display Customer Data solely to provide, secure, and improve the Services, and as otherwise agreed in writing.
6. Fees and taxes
Fees, invoicing, and taxes are set out in your Agreement. Free trials and sandboxes may be subject to fair-use limits or require a paid plan for production workloads.
7. Third-party services
The Services may integrate with banks, schemes, processors, or cloud providers. Their terms may apply to their components. Flagship is not liable for third-party failures outside its reasonable control.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the relationship. Standard exceptions apply (public information, independent development, rightful receipt without obligation).
9. Warranties disclaimer
EXCEPT AS EXPRESSLY STATED IN AN AGREEMENT, THE SERVICES AND WEBSITES ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAGSHIP DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL; (B) EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS (EXCLUDING CUSTOMER'S PAYMENT OBLIGATIONS AND IP INDEMNITY EXPRESSLY STATED IN AN AGREEMENT) WILL NOT EXCEED AMOUNTS PAID BY CUSTOMER TO FLAGSHIP IN THE TWELVE MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases liability is limited to the fullest extent permitted.
11. Indemnity
Customer will defend and indemnify Flagship against third-party claims arising from Customer Data, Customer's breach of these Terms, or violation of law, subject to prompt notice, reasonable cooperation, and Flagship's control of defence regarding its trade secrets.
12. Term and termination
Term follows your Agreement. We may terminate or suspend websites or evaluation access for material breach after notice where required. Provisions that by nature should survive (confidentiality, liability limits, indemnity) survive termination.
13. Privacy
Our Privacy Policy describes processing for website visitors and Users. Where Flagship processes personal data as processor for Customer, our Data Processing Addendum applies when executed or incorporated in your Agreement.
14. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, excluding conflict-of-law rules, unless your Agreement specifies otherwise. The courts of Cairo, Egypt have exclusive jurisdiction, unless mandatory law requires otherwise.
15. Changes
We may update these Terms for websites and non-contractual materials by posting a revised version and updating the effective date. Material changes to contracted Services follow the change process in your Agreement.
